This Agreement is made between [Jean Dupont], ("Contractor") and [Company X], ("Client") on this date, [May 1, 2024].
1. Project and Scope
- Project Description: Development of a mobile application for iOS and Android that allows users to track their daily expenses.
- Deliverables:
- Design of user interface and user experience (UI/UX).
- Development of core features including expense entry, report visualization, and notifications.
- Integration of APIs for real-time exchange rates.
- Application testing and bug fixing.
- Launch of the application on the App Store and Google Play.
- Project Milestones:
- Milestone 1: Delivery of UI/UX mockups – [June 15, 2024]
- Milestone 2: First functional beta version – [August 1, 2024]
- Milestone 3: Final version ready for production – [October 1, 2024]
2. Payment Terms
- Fees: The Client agrees to pay the Contractor a total fee of [€12,000] payable as follows:
- [€4,000] due on [June 15, 2024] upon approval of UI/UX mockups.
- [€4,000] due on [August 1, 2024] upon delivery of the beta version.
- [€4,000] due on [October 1, 2024] upon delivery of the final version.
- Invoices: The Contractor will invoice the Client upon completion of the milestones. Invoices are due within 15 days of receipt.
- Late Payment: Late payments will incur a charge of 5% per month on the unpaid balance.
3. Revisions and Alterations
- Included Revisions: The Client is entitled to three rounds of revisions for the UI/UX mockups and two revisions for each beta version of the application.
- Additional Work: Any work beyond the specified revisions or outside the project scope will be billed at €50/hour.
4. Ownership and Rights
- Ownership: Final deliverables, excluding all underlying work and drafts, will be the property of the Client upon final payment. However, the Contractor retains the right to use general source code for other projects.
- Use of Work for Promotion: The Contractor may display the project and any preliminary designs for promotional purposes, unless otherwise directed by the Client.
5. Confidentiality
- Non-disclosure: Both parties agree not to disclose trade secrets or other confidential information made available during the project. A specific non-disclosure agreement can be signed in addition if necessary.
6. Cancellation and Termination
- Termination: Either party may terminate this Agreement for any reason with 30 days written notice to the other party. The Client shall pay for all work completed up to the date of termination and all milestone payments already accrued to the Contractor shall remain earned.
